Ministry of Corporate Affairs (MCA) has introduced a yearly KYC (Know Your Customer) process for all those who hold Director Identification Number (DIN) issued by the MCA. Introduction of yearly KYC is a part of updating the unique Mobile Number and Email ID of all the DIN holders under the MCA System.

As per this KYC process, a person, who holds a DIN (Whether or not he/she is Director of a Company or the status of DIN is disqualified under MCA) has to file the E-Form DIR-3 KYC every year to MCA.

DIR3-KYC Filing

Every person who holds a DIN as of 31st March of a Year has to file the KYC on or before 30th September of that year..

Even if the holder of DIN is not a Director in any Company, the Filing of DIR-3 KYC is mandatory every year to keep the DIN active. DIR-3 KYC would be mandatory for disqualified directors also.

Unique Email ID / Mobile Number / Signing and Certification.

While filing the form, the Unique Personal Mobile Number and Personal Email ID would have to be mandatorily indicated and would be duly verified by One Time Password (OTP).

The form should be signed with the PAN updated Digital signature of the respective DIN holder and has to be certified by a practising professional (CA/CS/CMA).

Filing Fee / Penalty for delay DIR3-KYC Filing

There is no Filing fee for the E-Form DIR-3 KYC. However, delay in filing the DIR3-KYC will attract an additional fee of Rs.5000. Also, if DIN KYC is not filed within the specified time, Ministry will mark the DIN as 'DEACTIVATED'.

Every person who holds a DIN as on 31st March of a Financial year, has to file the KYC on or before 30th September of that year.


FAQ on Form DIR-3 KYC:

1. Who is liable to file Form DIR-3 KYC?

Every Director who has been allotted DIN on or before 31st March, of a financial year.

2. When we have to file Form DIR-3 KYC?

Every Individuals who have been allotted DIN on or before March 31, 2018, need to file DIR-3 KYC on or before August 31, 2018. Thereafter, DIR-3 KYC needs to be filed by all Individuals on or before April 30th every year.3

3. What is filling fee for Form DIR-3 KYC?

There is no filing fee for form DIR-3 KYC. However, if the form is not filed within the given time, penalty fee of Rs. 5000/- will be attracted.

4. Is filing of Form DIR-3 KYC mandatory for a disqualified director?

MCA announcement made it very clear that DIR-3 KYC is mandatory for all the Directors even if the director is disqualified under the provisions of Act.

5. What is the consequences if Form DIR-3 KYC is not filed?

The Central Government shall, deactivate the Director Identification Number (DIN), of an individual who does not intimate his particulars in e-form DIR-3-KYC within stipulated time.

6. How can we re-activate a DIN once the government has de-activated the DIN as a consequence of non-filing of Form DIR-3 KYC?

The de-activated DIN shall be re-activated only after e-form DIR-3-KYC is filed along with fee of Rs. 5000/-

7. What are the Information and Documents required for filing Form DIR-3 KYC?

Following information and Documents are required for filing form DIR-3 KYC:

  • Full Name of Individual
  • Father’s name of Individual
  • PAN Number
  • Nationality, citizenship details (Whether a citizen of India or not), gender and date of birth.
  • Passport (mandatory if the applicant has a valid passport)
  • Personal Mobile Number
  • Personal Email-id
  • OTP from Mobile Number and Email-id
  • Address Proof
  • Digital Signature Certificate (DSC) of Individual (For Indian national, the DSC must be with PAN updated)

8. What is attachment in the form DIR-3 KYC?

  • Proof of Permanent address
  • Copy of Aadhaar Card – In case ‘yes’ is selected in the field “Whether Citizen of India”
  • Copy of Passport – In case ‘Yes’ is selected in the field “Do you have a valid passport”
  • Proof of present Address – In case ‘No’ is selected in the field “Whether present residential address is same as permanent residential address”

9. Whether this form requires any certification?

Yes, this form is required to be digitally signed by a Chartered Accountant/ Cost Accountant/ Company Secretary in whole-time practice.

10. Whether filing of DIR-3 KYC is mandatory for a director not holding directorship in any company?

Yes, It is mandatory to file Form DIR-3 KYC even if he is not a director in any company (DIR-3 KYC is mandatory for all who is holding DIN)
